Terms of Service

PLEASE READ THESE TERMS CAREFULLY. By accessing or using AMA.ms (the "Platform"), you agree to these Terms of Service (the "Terms"). If you do not agree, do not use the Platform.

If you are using the Platform on behalf of a company or other entity, you represent that you have authority to bind that entity, and "you" includes that entity.

Definitions

"AMA," "we," "us," "our" means EXCT INC, operator of AMA.ms.

"User" means anyone who uses the Platform.

"Request" means a question submitted by a User to another User through the Platform.

"Video Reply" means a video response created and delivered through the Platform in reply to a Request.

"Creator" means a User who receives Requests and delivers Video Replies.

"Fan" means a User who submits a Request. (A User can be both a Fan and a Creator.)

"Authorization Hold" means a temporary hold placed on a Fan's payment method at checkout.

"Capture" means charging a Fan's payment method (finalizing payment).

Who Can Use AMA.ms

2.1 Age

You must be at least 16 years old to use the Platform (or the minimum age required in your country, if higher).

If you are under 18, you represent that you have permission from a parent or legal guardian.

You may not use the Platform if you are prohibited by law, or if you are located in a country subject to applicable sanctions/embargoes, or if you are on a government restricted-party list.

2.3 Account Rules

You agree to provide accurate information and keep it up to date. You are responsible for all activity under your account and for keeping your login secure. Contact us immediately at support@ama.ms if you believe your account was accessed without permission.

We may suspend or terminate accounts that violate these Terms or harm the Platform or other Users.

What AMA.ms Is (and Is Not)

AMA.ms lets Users submit paid Requests to other Users and receive Video Replies.

AMA.ms is a platform. We do not create Video Replies and we do not control what a Creator says. Creators are independent users, not employees or agents of AMA.

How Requests and Video Replies Work

4.1 Submitting a Request

When you submit a Request, you may be asked to provide text and other details. You must not include private or sensitive information (like passwords, full card numbers, or private addresses).

4.2 Moderation Check

Requests may be checked by automated systems (including AI) to help block spam, harassment, hate, nudity, or other inappropriate content. This check is not perfect, and we do not guarantee that all harmful content will be caught.

4.3 Creator Choice: Accept, Decline, Block

Creators can decide what they will answer. A Creator may:

decline any Request, for any reason, and/or

block a User to stop future Requests or messages.

4.4 Deadline and Expiration

Creators have a clear time limit to reply. If a Video Reply is not delivered within 7 days, the Request expires and the Fan gets an automatic refund (or any Authorization Hold is released).

4.5 Anonymous Requests

If the Platform offers an anonymous option, a Fan may submit a Request without showing their name to the Creator. However, we may still collect and store account and transaction information for safety, fraud prevention, and legal compliance.

4.6 Minimum Effort; Bad-Faith Delivery

Video Replies must be substantially compliant with the Request and reflect a minimum effort to answer in good faith. A Video Reply that is clearly empty, unusable, or delivered in bad faith (for example, a black screen, silence, a message that refuses to answer solely to trigger payment capture) may be treated as not properly delivered. If a Fan disputes a Video Reply on this basis, AMA may review the case and may issue a refund at our sole discretion.

Payments, Authorizations, Fees, and Refunds

5.1 Authorization Hold and Capture

At checkout, we place an Authorization Hold on the Fan's payment method. This may appear as a pending charge. The Fan is committing to pay if the Video Reply is delivered.

We capture payment only when the Creator delivers the Video Reply.

If a Request is declined, canceled, or expires, the Fan will not be charged and any Authorization Hold will be released. Some banks may take time to remove a pending hold.

5.2 Platform Commission

AMA charges a 20% platform commission on completed transactions. This commission is deducted before Creator earnings are recorded.

5.3 Refunds

If no Video Reply is delivered within 7 days: automatic refund (or hold release).

If the Request is declined or canceled before delivery: refund (or hold release).

After delivery: payments are generally final because the product is personalized digital content, except where required by law or where we decide to help with a clear technical failure (for example, the video is blank due to a Platform error). AMA may also issue a refund at our sole discretion if we determine a Video Reply was delivered in bad faith or is not substantially compliant with the Request (see Section 4.6).

5.4 Refund Fees for Missed Deadlines

If a Request expires and is refunded because a Creator did not deliver a Video Reply within 7 days, AMA may recover the costs associated with that refund ("Refund Fee") from the Creator. This may include payment processing costs, dispute/charge costs, and other transaction-related costs we incur to issue or process the refund.

You authorize AMA to deduct any Refund Fee from your AMA wallet balance. If your wallet balance is not enough at the time, you authorize AMA to deduct the remaining amount from your future earnings until paid in full.

5.5 Chargebacks and Payment Disputes

If a Fan files a chargeback or payment dispute, we may investigate and may suspend the account if we believe there is fraud or abuse. AMA reserves the right to deduct the disputed amount and any associated bank fees from the Creator's wallet or future earnings.

5.6 Taxes

You are responsible for any taxes that apply to you (including income tax, VAT, or other obligations). We may request tax or identity information when required by law or for verification and reporting.

Where required by law, we may report transaction or earnings information to tax authorities.

5.7 Consumer Rights

Nothing in this Section 5 limits your non-waivable statutory rights under local consumer law. If you are a resident of the EU, EEA, or UK, our refund and cancellation policies will be applied in a manner consistent with your local consumer protections.

Creator Wallet and Withdrawals

6.1 Wallet

After a Video Reply is delivered and payment is captured, earnings are recorded in the Creator's AMA wallet.

6.2 Stripe Connect

Creators do not need to connect Stripe to create a profile or receive Requests.

To withdraw earnings, a Creator must connect a Stripe account and complete any required verification (including identity checks). Verification is handled by Stripe and/or AMA to meet legal and fraud-prevention requirements.

6.3 Holds and Delays

We may delay withdrawals or access to funds when needed for security, fraud prevention, chargeback risk, or legal compliance.

Content Rules and Licenses

7.1 Who Owns What

Creators generally own the Video Replies they create.

Fans own the text they submit in Requests.

AMA owns the Platform, site design, software, trademarks, and logos.

7.2 License to Deliver the Service

You grant AMA a limited license to host, store, transmit, display, and process your content (Requests and Video Replies) only as needed to operate the Platform, deliver Video Replies, prevent abuse, and comply with law.

7.3 Fan License to Use Video Replies (Personal Use Only)

When a Fan receives a Video Reply, the Fan gets a limited, personal, non-commercial license to view and share it for personal use.

You may not use a Video Reply:

for advertising, promotions, brand deals, endorsements, or marketing

to sell a product or service

in paid ads or commercial content

as part of a business campaign

for resale or paid access

For the avoidance of doubt, personal use includes sharing the Video Reply on your personal social media profiles. However, you may not use the Video Reply in a paid or sponsored capacity to promote a third-party brand, product, or service without the Creator's explicit written consent.

7.4 Watermark

Video Replies may include an AMA watermark. You may not remove, hide, or change any watermark.

7.5 No AI Training / No NFTs

You may not use Video Replies or Platform content to train AI models, for data mining, or to create NFTs or blockchain products, unless we give written permission.

7.6 No Illegal or Harmful Content

You must not request, create, upload, or share content that is illegal, hateful, harassing, sexually explicit, exploitative, threatening, or that violates someone else's rights.

Creators must not include private personal data in Video Replies (like phone numbers, addresses, passwords, or private financial data).

Safety and Enforcement

We may remove content, decline Requests, suspend accounts, or ban Users to protect the Platform and Users. We may also work with law enforcement where required.

8.1 Prohibited Conduct

You agree not to:

(a) impersonate any person;

(b) engage in doxxing or extortion;

(c) use the Platform for payment fraud or money laundering; or

(d) scrape Platform data.

8.2 Enforcement

Violations may result in:

(1) a formal warning;

(2) temporary account suspension; or

(3) permanent termination.

We reserve the right to withhold pending funds during an investigation into fraud or safety violations.

Disclaimers

We do not verify user identities at this time. Please use your own judgment when interacting with any account.

Video Replies do not constitute professional, legal, medical, or financial advice. Any information provided in a Video Reply is for general information and entertainment purposes only. You rely on any Video Reply at your own risk, and you should consult a qualified professional for advice specific to your situation.

AMA.ms is provided "as is" and "as available." We do not guarantee:

that any Creator will reply

that any Video Reply will meet expectations

uninterrupted or error-free service

that moderation will catch all harmful content

Creators speak for themselves. Video Replies may be for entertainment or general information and are not professional advice.

Some countries do not allow certain disclaimers, so some of these may not apply to you.

Limitation of Liability

To the maximum extent permitted by law, AMA will not be liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, data, or goodwill.

To the maximum extent permitted by law, AMA's total liability for any claim will not exceed the amount you paid to AMA in the 12 months before the event giving rise to the claim (or $100 if you paid nothing), unless the law requires more.

Indemnification

You agree to defend, indemnify, and hold harmless AMA and its affiliates, officers, employees, and agents from claims and expenses (including reasonable legal fees) arising from:

your content (Requests or Video Replies)

your misuse of the Platform

your violation of these Terms

your violation of law or third-party rights

Termination

You may stop using AMA at any time. We may suspend or terminate your access if you violate these Terms, harm other Users, or create risk for the Platform.

If your account is terminated:

your right to use the Platform ends

we may cancel pending Requests

refunds will be handled under Section 5

Changes to These Terms

We may update these Terms. We will post the updated version and change the Last Updated date. Continued use after the Effective Date means you accept the updated Terms.

Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, USA. Except for small claims court cases, any dispute relating to these Terms or the Platform will be resolved through binding arbitration rather than in court. You and AMA agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

If you are a consumer in the EU/EEA/UK, you may have additional rights under local consumer protection laws that cannot be waived.

16.1 Informal Dispute Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting support@ama.ms. If we cannot resolve it within 30 days, either party may begin arbitration.

16.2 Arbitration Rules

Arbitration will be conducted by the American Arbitration Association (AAA) under its Consumer Arbitration Rules.

16.3 Opt-Out

You may opt out of this arbitration agreement within 30 days of creating your account by emailing a clear notice to support@ama.ms.

Assignment and Transfer of Rights

AMA reserves the right to assign, delegate, or transfer these Terms and its rights and obligations hereunder, including the operation of the Platform and any user agreements, to any affiliate, subsidiary, or third party as part of a corporate reorganization, merger, acquisition, or sale of assets. You agree that such a transfer may involve a change in the legal entity and/or the jurisdiction governing the Platform (including transfers to entities outside of the United States). Your continued use of the Platform after such a transfer constitutes your acceptance of the new entity as your service provider.
